1. Service Description

AIxEverything ("Company," "we," "us," or "our") provides artificial intelligence consulting, implementation, and integration services ("Services") to businesses and organizations ("Client," "you," or "your").

Our Services include but are not limited to:

  • AI strategy development and consultation
  • Custom AI solution design and implementation
  • Machine learning model development and deployment
  • AI system integration and optimization
  • Training and support for AI technologies
  • Data analysis and insights generation
2. User Responsibilities

As a Client of our Services, you agree to:

  • Provide accurate, complete, and timely information necessary for service delivery
  • Maintain confidentiality of any proprietary methods or technologies shared
  • Comply with all applicable laws and regulations in your use of AI technologies
  • Ensure proper data governance and privacy compliance for any data provided
  • Use AI solutions responsibly and ethically
  • Provide reasonable access to systems and personnel as needed for implementation
  • Make timely payments according to agreed terms
3. Payment Terms

3.1 Payment Schedule

Payment terms will be specified in individual service agreements. Standard terms include 50% upfront payment and 50% upon completion, unless otherwise agreed.

3.2 Late Payments

Late payments may incur a 1.5% monthly service charge. Services may be suspended for accounts overdue by more than 30 days.

3.3 Refunds

Refunds are considered on a case-by-case basis. Completed work and delivered services are generally non-refundable.

4. Intellectual Property

4.1 Client Data and IP

You retain all rights to your existing intellectual property, data, and business information. We will not use your confidential information for any purpose other than providing agreed Services.

4.2 Custom Solutions

Custom AI solutions developed specifically for your use case will be owned by you upon full payment, unless otherwise specified in the service agreement.

4.3 Company IP

Our methodologies, frameworks, and general AI knowledge remain our intellectual property. We reserve the right to use general insights and non-confidential learnings to improve our services.

5. Limitation of Liability

5.1 AI Technology Disclaimer

AI technologies are rapidly evolving and may produce unexpected results. While we strive for accuracy and reliability, we cannot guarantee perfect performance of AI systems.

5.2 Liability Limits

Our total liability for any claims arising from our Services shall not exceed the total amount paid by you for the specific Services giving rise to the claim.

5.3 Excluded Damages

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

6. Termination

Either party may terminate services with 30 days written notice. Immediate termination may occur in cases of material breach, non-payment, or violation of these terms.

Upon termination, you remain responsible for payment of all services rendered up to the termination date. We will provide reasonable assistance in transitioning any ongoing projects.

7. Dispute Resolution

7.1 Good Faith Negotiation

Any disputes shall first be addressed through good faith negotiation between authorized representatives of both parties for a period of 30 days.

7.2 Mediation

If negotiation fails, disputes shall be resolved through binding mediation conducted by a mutually agreed mediator or mediation service.

7.3 Arbitration

Should mediation prove unsuccessful, any remaining disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
